The purpose of this Confidential Investment Offering Overview is to provide a summary of a possible future private investment opportunity that may be made available to a certain limited number of accredited investors. The contemplated offering, if made available formally, would provide Investors with the opportunity to acquire an interest in a historic 19th century warehouse, to be converted into a new 125 room luxury boutique hotel in downtown Minneapolis, to be called The Hewing Hotel. At the gateway to Minneapolis’ burgeoning North Loop neighborhood, the historic Jackson Building is a century-old warehouse that will be reshaped into a one-of-a-kind, modern, luxury, and experiential hotel and important food and beverage destination. Originally built in 1897, the full restoration of this historic building will celebrate the beauty and integrity of the structure while embracing the influence of progressive modern culture surrounding it. Upon completion, The Hewing Hotel will bring an iconic hotel experience to Minneapolis’ vibrant downtown, boasting an incredible food and beverage scene thriving with local culture.

The Hewing Hotel will be located at the entrance to the North Loop Historic Warehouse District and opposite of the Northwest corner of the Minneapolis Central Business District (CBD). The North Loop was recently named one of America’s “hippest neighborhoods” by Forbes Magazine and is often referenced with the likes of Wicker Park (Chicago), Brooklyn (New York), Mission (San Francisco), and South Congress (Austin) for its sophisticated cultural appeal yet is much closer to the CBD than the aforementioned neighborhoods. Over the last decade, the North Loop has seen more development than any other area in the city according to US Census data from 2010, and since 2000, the population has more than tripled. In the last 24 months, more than 10 multi-family and mixed-use projects in the North Loop have been delivered or broke ground and several hundred new luxury apartments are being delivered over the next two years. The city’s most acclaimed and busiest restaurants surround the hotel site. The Hewing Hotel will be the closest full-service hotel to Target Field, home to the Minnesota Twins baseball team. Additionally, the site offers exceptional access to the Light Rail Transit System, Mississippi Riverfront Parks, Minneapolis Skyway system, and the Cedar Lake Regional Trail (tapping into the city’s network of 175+ miles of biking trails).

The Twin Cities is the second largest economy in the Midwest, behind only Chicago. It is also home to 18 of Minnesota’s 19 Fortune 500 headquarters including United Healthcare Group, Target, Best Buy, and 3M. Minnesota also boasts one of the nation’s lowest unemployment rates of 3.5%, as of November 2014. Minneapolis experienced one of the fastest return-to-peak hotel performance thresholds following the recession of 2008-2009. By 2011, Downtown Minneapolis hotels had already surpassed pre-recession levels while most Top 25 hotel markets were still lagging. Further, Minneapolis has had less new supply delivered or currently under construction than comparable markets, creating an opportunity for The Hewing Hotel to be quickly absorbed into the market.

The project sponsorship is led by Aparium Hotel Group and Fe Equus, with SMB Bradley acting as an investment partner. Aparium and Fe Equus together represent the development, ownership, and management of the highly acclaimed Iron Horse Hotel, a similar hotel to The Hewing, in Milwaukee, WI. The Iron Horse has won numerous national awards including AAA Four Diamond Award, Boutique Lodging & Lifestyle Association Boutique Hotel of the Year, Conde Nast Traveler Magazine’s “Gold List”, and Trip Advisor’s #19 Hotel in America.
